Mr. Murali has broad based experience having worked on cross border deals governed by English law and domestic Indian deals governed by Indian law.

Mr. Murali was one of the few Indian lawyers who was a partner in a leading international law firm in London. During that time he worked on some of the significant deals of that time. Mr. Murali returned to Mumbai in August 2008 and has worked on some interesting deals. Mr. Murali is listed in the Who's Who of the World and has been recommended by the Legal 500. Based on feedback from clients and the recommendation of his peers, he was listed as one of the top 12 leading M&A lawyers in India by whoswholegal.com.

Prior to joining Cipla Ltd. as its Global General Counsel, Mr. Murali was associated with organisations of immense importance nationally and internationally including: Partner, Khaitan & Co., Partner & Head - India Group, Ashurst (September 2007 – July 2008); Partner & Co-chair, Asia Working Group Arnold & Porter (July 2005 – August 2007); Senior Associate, Simmons & Simmons (1999 – July 2005); and Associate, Nishith Desai Associates (1996 – 1999).

Mr. Murali graduated with a gold medal from National Law School of India University where he was an avid mooter. He was Best Student Advocate at the Bar Council of India moot court in 1995 and represented India at the international rounds of the Philip C Jessup International Law Moot Court Competition in 1995. In 2012, he was a judge for the international rounds of the Philip C Jessup International Law Moot Court Competition and he also judge in January 2013, the Final round of the Philip C Jessup International Law Moot Court Competition organised by Symbiosis Law School, NOIDA.

Mr. Sidharrth Shankar, Partner, J Sagar Associates| advocates & solicitors

Mr. Sidharrth has been with J. Sagar Associates for now over eight years, and his practice covers diverse areas of Corporate Commercial, Mergers & Acquisitions and Private Equity investments.

He has been representing multi-national companies in cross-border transactions, advising on foreign direct investments, outbound investments, Joint Ventures, technology transfers and commercial contract issues. He has also handled some of the Capital Market related transactions such as FCCBs (Foreign Currency Convertible Bond) and GDRs (Global Depositary Receipts).

Mr. Sidharrth’s work experience includes advising Indian and foreign parties on Private Equity investments in India and advising companies engaged in the Financial Services sector including non-banking financial services companies and brokerages.

Mr. Sidharrth regularly writes articles in The Financial Express and other leading business papers.

Mr. Lalit has in the past ten years acted for various companies and institutions in a wide variety of Corporate Commercial transactions, such as Corporate Restructuring, Joint Ventures, Mergers & Acquisitions (both inbound & outbound), and Demergers; including advise on structuring of investments vehicles / options, acquisitions & divestments - of shares, assets and businesses (private, public and listed entities).

Mr. Lalit has represented clients before various High Courts in connection with schemes of amalgamation and arrangement. As part of these transactions, Mr. Lalit has advised clients on diverse issues, amongst others, on company law, regulations framed by the SEBI (Securities & Exchange Board of India), FEMA (Foreign Exchange Management Act) regulations and the Foreign Direct Investment Policy and other related corporate laws.

Mr. Lalit also specializes in Private Equity transactions and has acted both for the Private Equity investor and the target investee company and rendering legal advice on structuring the Private Equity deals, leading the due diligence, drafting various investment agreements and documents, negotiating the deals and providing overall transactional support including approvals, etc. from Reserve Bank of India (RBI), the Foreign Investment Promotion Board of India (FIPB) and the Securities & Exchange Board of India (SEBI).

Mr. Lalit has advised underwriters and companies in a wide variety of Capital Markets & Securities Law related matters such as IPOs, QIPs, FCCBs, open offers, delisting of shares; issue of employees stock options; drafting of code for conduct under insider trading regulations and compliance for trading in Capital Market Securities and other Capital Markets related matters. Amongst his important assignments include representing one of India’s leading Engineering & Construction companies in its initial public offering, foreign currency convertible bond offering, and the qualified institutional placement and delisting of one of India’s leading Real Estate companies through substantial acquisition of shares by promoters.

Mr. Lalit regularly writes articles for prestigious business and legal publications, including for some of the leading financial dailies. He is a frequent speaker at conferences, seminars and sessions organized by eminent institutions and federations and professional bodies and law colleges.
