Topic: Takeover Code, 2011: Definitive Agreements and Acquisition of Control

Mr. Sidharrth has been with J. Sagar Associates for over five years and his practice covers diverse areas of Corporate Commercial and Banking & Finance, including Mergers & Acquisitions and Private Equity investments.

Mr. Sidharrth has been representing multi-national companies in cross-border transactions, advising on Foreign Direct Investments, Outbound investments, Joint Ventures, technology transfers and commercial contract issues. He has also handled some of the Capital Market related transactions such as FCCBs (Foreign Currency Convertible Bond) and GDRs (Global Depositary Receipt).

In the areas of Private Equity and Foreign Investment, Mr. Sidharrth has advised Private Equity Funds and Multinational institutions in their investments in Indian listed / publicly traded and unlisted companies under the automatic route and approval route. Sidharrth has also advised in setting up of India oriented Private Equity funds.

Mr. Sidharrth is a vivid researcher. Mr. Sidharrth has written and published the following articles: Foreign Tech Tieup Rules in a Royalty Mess - The Economic Times (January 27, 2010); GDR Issue that Triggered the Takeover Debate - The Financial Express (February 3,2010); Takeover Code Implications of Voting Rights Arrangements arising under a GDR Issuance-Taxmann’s SEBI & Corporate Laws, [2010] 98 SCL 52 (Mag). Further he prepared the following documents involving great length of research: Memorandum on Doing Business in India: Prepared a comprehensive memorandum for transmission to clients seeking advice in respect of investing in India. The memorandum covers inter alia, laws in respect of foreign direct investment into India, exchange control regulations, technology and trademark license agreements, entry options for foreign investors; business regulation including competition laws, mergers and acquisitions and intellectual property rights; financial sector including banking, capital markets and insurance; labour laws including employment legislation and rules for foreign nationals; taxation laws including corporate taxation, tax structure and incentives and tax administration; environment and consumer laws; real estate investment; and dispute resolution including courts and litigation and alternate dispute resolution; Asset Sale and Business Sale- Distinction: Memorandum prepared on the distinction on the Asset and Business sale; Rights of Minority Shareholders under listed companies: Prepared a comprehensive memorandum on the rights of minority shareholders under listed companies.

Mr. Sidharrth’s educational qualifications include: B.SL, University of Pune (1998), LL. B, University of Pune (2001). He also has Diploma in ‘International Joint Venture’, College of Law, London, U.K (2005); Diploma in ‘International Mergers & Acquisitions’, College of Law, London, U.K (2007). At present he is pursuing a degree course on ‘Business Management’ from the Indian Institute of Management, Calcutta.

Topic: Towards a Modern and Contemporary Food Law for India

With over 19 years of experience, Devdas is a qualified lawyer from the University of Delhi, a member of the Institute of Company Secretaries of India and also holds a postgraduate diploma in EU Competition Law from King’s College, London. Devdas joined Coca-Cola in 2007 as General Manager-Legal, first in the concentrate operations, later moving on to Hindustan Coca-Cola Beverages P. Ltd. in the bottling operations where he was Associate Vice-President Legal till September 2012. In his years in Coca-Cola, Devdas has provided legal advice to the business covering a variety of areas including litigation, procurement, restructuring, competition law, regulatory, governance and compliance, environmental law, marketing, property, in addition to day-to-day and issue-specific general counseling.

Before joining Coca-Cola, Devdas held positions of increasing responsibility with various organizations including serving as the Head of Legal and Company Secretary for the Gillette India and South Asia business of Procter & Gamble where he managed setting up of Greenfield ventures, toll packers, handling the IP portfolio prosecuting infringers and parallel importers, indirect tax litigation, corporate restructuring, divestitures, marketing and advertising issues, besides a variety of litigation. Prior to this, he worked for the Times of India group in the Internet and New Media Division, the National Stock Exchange of India and SRF Limited.
